Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Omninal Payment Gateway mobile application, websites, dashboards, APIs, payment pages, QR checkout flows, wallet features, settlement tools, support channels, and related services (collectively, the "Services"). The Services are provided by Omninal ("Omninal," "we," "us," or "our").
By creating an account, accessing the Services, or using the Services on behalf of a company or other organization, you agree to these Terms and confirm that you have authority to bind that company or organization. If you do not agree, do not use the Services.
2.1 Business Use and Authorized Users
The Services are intended for merchants, businesses, and authorized business representatives. You must be at least 18 years old and legally able to enter into a binding agreement. If you use the Services for an entity, "you" means both you and that entity.
2.2 Service Description
Omninal provides payment gateway and merchant account tools that may include, depending on region, verification status, availability, and partner support:
- merchant registration and KYB/KYC review;
- payment links, QR checkout, and payment order creation;
- supported fiat payment methods, card payments, bank transfers, Alipay, WeChat Pay, POS terminal settlement, and other payment channels where available;
- supported digital asset payment, deposit, withdrawal, and settlement features, including USDC, USDT, BTC, ETH, POSX, or other assets where enabled;
- merchant balances, account ledger, activity history, settlement reporting, fee information, and withdrawal requests;
- internal transfer features between eligible Omninal accounts;
- merchant rebate, loyalty, or incentive tools where enabled; and
- support, security, compliance, and account administration features.
Available features may vary by jurisdiction, account type, verification level, payment partner, network availability, and legal or compliance requirements. We may add, modify, suspend, or discontinue features at any time.
2.3 No Consumer Banking, Investment, or Legal Advice
The Services are payment and merchant operations tools. Omninal does not provide investment, tax, accounting, legal, financial planning, or securities advice. Any information in the App, including balances, rates, fees, settlement estimates, rebate records, or digital asset information, is for operational use and should not be treated as advice or a recommendation.
2.4 Registration and Verification
You must provide complete, current, and accurate information during registration and verification. We may require KYB, KYC, beneficial ownership, business license, bank account, sanctions screening, fraud-risk review, and other compliance checks before enabling or continuing access to features. We may reject, suspend, delay, limit, or terminate access if information is incomplete, inaccurate, unverifiable, suspicious, prohibited, or required by law or partner rules.
2.5 Account Security
- You are responsible for maintaining the confidentiality of your login credentials, verification codes, payment password, devices, wallet addresses, and account access.
- You are responsible for all activity under your account, including activity by employees, agents, administrators, or other authorized users.
- You must promptly notify us at [email protected] if you suspect unauthorized access, compromised credentials, incorrect transactions, or other security incidents.
- We may require additional authentication, verification, transaction review, or security holds before processing sensitive actions such as withdrawals, transfers, bank account changes, or wallet address changes.
2.6 Acceptable Use
You may use the Services only for lawful business purposes and in compliance with these Terms, applicable law, payment network rules, bank and partner requirements, sanctions rules, AML obligations, and Omninal policies.
2.7 Prohibited Use
You must not use, or allow anyone else to use, the Services for:
- illegal, fraudulent, deceptive, abusive, or unauthorized activity;
- money laundering, terrorist financing, sanctions evasion, human trafficking, tax evasion, or other financial crime;
- transactions involving sanctioned countries, sanctioned persons, restricted parties, or prohibited jurisdictions;
- unauthorized gambling, lotteries, betting, games of chance, or real-money gaming;
- unlicensed financial services, securities, derivatives, lending, investment schemes, token sales, ICOs, crypto-securities, or quasi-securities trading;
- sales of illegal drugs, controlled substances, counterfeit goods, stolen goods, weapons, or other prohibited goods and services;
- adult sexual content or services where prohibited by law, network rules, or Omninal policy;
- high-risk or restricted businesses without prior written approval and required licenses;
- attempting to bypass KYB/KYC, transaction limits, sanctions controls, fraud monitoring, fees, settlement rules, or technical controls;
- scraping, reverse engineering, tampering with, overloading, disrupting, or compromising the Services;
- using rebates, rewards, referral tools, or promotions to create artificial transactions, self-dealing, wash activity, fake orders, deceptive user acquisition, or abuse of incentive systems; or
- any activity that Omninal, a payment partner, bank, regulator, network, or law enforcement authority reasonably determines to be unacceptable.
2.8 Payments, Fees, and Exchange Rates
Fees, payment channel rates, settlement rules, withdrawal fees, network fees, and other charges may be displayed in the App or agreed separately. Fees may vary by payment method, asset, network, merchant type, risk profile, volume, region, partner cost, or account status. Unless otherwise stated, fees are deducted from transaction amounts, balances, or payouts. You are responsible for reviewing applicable fees before using a feature.
Where a transaction involves currency conversion, stablecoin conversion, digital asset conversion, or network fees, rates and amounts may vary based on market conditions, partner quotes, blockchain fees, liquidity, and timing. Displayed estimates are not guaranteed until a transaction is accepted and processed.
2.9 Fiat Deposits, Withdrawals, and Settlement
Fiat deposits, withdrawals, and settlements may be provided through banking, payment, or infrastructure partners. Supported methods may include ACH, wire transfer, bank payout, card settlement, or other methods. Processing times are estimates and may be delayed by bank holidays, partner review, compliance checks, fraud monitoring, incorrect information, network outages, or other events outside Omninal control.
Where supported, a USD deposit may be credited as USDC or another supported balance at a stated conversion basis, subject to partner support, account eligibility, fees, limits, and compliance review. Omninal may reject, return, reverse, place on hold, or request more information for any deposit, settlement, or withdrawal where required or permitted.
2.10 Digital Asset Transactions
Digital asset features are available only where legally permitted and enabled for your account. Digital asset transactions may be irreversible, may require blockchain confirmations, and may be subject to network fees, congestion, wallet address errors, unsupported networks, smart contract risk, custody or partner risk, and asset volatility.
- You are solely responsible for selecting the correct asset, network, wallet address, memo/tag if applicable, and amount.
- Sending an asset to the wrong address, wrong network, unsupported address, or unsupported asset may result in permanent loss.
- Omninal is not responsible for losses caused by incorrect wallet addresses, unsupported networks, blockchain delays, third-party wallet errors, user mistakes, or events outside our control.
- Omninal may delay, block, review, or reject digital asset transactions for compliance, sanctions, fraud, risk, security, legal, or partner reasons.
2.11 Stablecoins and Digital Asset Balances
USDC, USDT, POSX, BTC, ETH, and other supported digital assets are not bank deposits, are not legal tender in most jurisdictions, and are not insured by the FDIC, SIPC, or any government deposit insurance program unless expressly stated by a regulated partner. Stablecoins are subject to issuer, reserve, redemption, regulatory, blockchain, liquidity, and market risks. Omninal does not guarantee the value, availability, redemption, or market price of any digital asset.
2.12 Rebate, Rewards, and Incentive Programs
Omninal may provide tools that allow eligible merchants to configure or process rebates, rewards, loyalty credits, referral rewards, or similar incentives, including POSX or other supported assets, where permitted. These programs are promotional and operational features only. They are not wages, guaranteed income, investment returns, securities, interest, or savings products.
- Eligibility, rates, timing, supported assets, processing rules, and availability may change at any time.
- Rewards may be delayed, canceled, reversed, adjusted, forfeited, or denied in cases of refunds, chargebacks, fraud, abuse, insufficient merchant balance, compliance holds, technical issues, or policy violations.
- Merchants are responsible for ensuring that rebate configurations, marketing statements, tax treatment, and customer disclosures comply with applicable law.
- Apple and Google are not sponsors of, and are not responsible for, any Omninal rebate, reward, loyalty, referral, or promotion program.
- You may not offer digital assets or rewards for downloading apps, posting to social networks, manipulating rankings, creating fake transactions, or encouraging abusive user acquisition behavior.
2.13 Yield, Staking, or Earn Features
If Omninal makes any staking, Earn, savings, yield, APY, or similar feature available, it will be available only to eligible users in supported jurisdictions and may be provided by a third-party partner. Such features may carry significant risks, including loss of principal, lock-up, smart contract risk, counterparty risk, liquidity risk, regulatory risk, and variable rates. Rates are not guaranteed and may change. These features are not bank deposits and are not insured unless expressly stated by a regulated partner. Omninal may disable these features in the first public release or in any region where appropriate licensing or approvals are not available.
2.14 Refunds, Disputes, and Chargebacks
Refunds, disputes, and chargebacks are subject to payment method rules, network rules, partner requirements, and Omninal policies. You are responsible for merchant/customer disputes, product or service delivery, refund obligations, and accurate transaction records. Fees may not be refundable unless required by law or expressly stated. Chargebacks, reversals, refunds, penalties, or losses may be deducted from your balance, future settlement, reserve, or linked payment method.
2.15 Reserves, Holds, and Limits
Omninal or its partners may impose reserves, rolling reserves, delayed settlement, transaction limits, withdrawal limits, account limits, enhanced due diligence, or other controls based on risk, chargebacks, refunds, compliance obligations, regulatory requirements, suspected misuse, partner rules, or business profile. We may change limits or holds at any time as needed to manage risk or comply with obligations.
2.16 Taxes
You are responsible for determining, collecting, reporting, and paying all taxes, duties, levies, and assessments related to your business, transactions, fees, rebates, rewards, digital asset activity, or use of the Services. Omninal may provide records or reports for convenience, but those records are not tax advice.
2.17 Third-Party Services and Partners
The Services may depend on third-party banks, payment processors, card networks, payment method providers, Bridge API or similar infrastructure providers, digital asset service providers, blockchain networks, identity vendors, compliance vendors, cloud providers, app stores, and other partners. Their terms, policies, rules, fees, availability, and decisions may apply to your use of the Services. Omninal is not responsible for third-party service outages, delays, denials, errors, or changes outside our control.
2.18 App Stores and Mobile Platforms
Your use of the App may also be subject to the rules and terms of Apple, Google, or other app distribution platforms. Apple and Google are not responsible for providing the Services, supporting the Services, investigating claims, or handling financial transactions through the Services. To the extent required by applicable app store terms, Apple and its subsidiaries are third-party beneficiaries of these Terms for iOS users.
2.19 Intellectual Property
Omninal and its licensors own all rights, title, and interest in the Services, including software, design, logos, trademarks, content, workflows, APIs, and documentation. You receive a limited, non-exclusive, non-transferable, revocable right to use the Services for lawful business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law.
2.20 Confidentiality and Data
You may receive confidential or non-public information through the Services, including pricing, fees, partner information, technical information, risk controls, or business information. You must protect such information and use it only for authorized purposes. Our handling of personal information is described in the Privacy Policy.
2.21 Service Availability and Changes
We aim to provide reliable Services but do not guarantee that the Services will be uninterrupted, error-free, secure, or available in every region or at all times. We may modify, suspend, restrict, or discontinue any part of the Services for maintenance, security, risk, compliance, legal, partner, or business reasons.
2.22 Suspension and Termination
We may suspend, restrict, or terminate your account or access to any feature immediately if we reasonably believe that:
- you violated these Terms or other Omninal policies;
- your account or activity creates legal, compliance, fraud, security, chargeback, sanctions, regulatory, or reputational risk;
- required information is inaccurate, incomplete, outdated, or unverifiable;
- a bank, payment partner, card network, regulator, court, law enforcement authority, or app platform requires or recommends action;
- continued service would violate applicable law, network rules, partner rules, or licensing requirements; or
- your account is inactive or unsupported.
You may request account closure by contacting [email protected] or using the in-app account deletion process where available. Closure does not affect obligations that arose before closure, including fees, refunds, chargebacks, taxes, compliance review, investigations, reserves, or legally required retention.
2.23 Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. Omninal disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, security, accuracy, and availability. We do not guarantee approval of any merchant, transaction, deposit, withdrawal, settlement, payment method, rebate, reward, digital asset transfer, or partner service.
2.24 Limitation of Liability
To the maximum extent permitted by law, Omninal and its affiliates, directors, officers, employees, agents, licensors, service providers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of revenue, business, goodwill, data, digital assets, or opportunities, even if advised of the possibility of such damages. To the maximum extent permitted by law, Omninal total liability for all claims arising from or related to the Services will not exceed the fees paid by you to Omninal for the Services giving rise to the claim during the three months before the event giving rise to liability, or USD 100, whichever is greater.
2.25 Indemnification
You agree to defend, indemnify, and hold harmless Omninal and its affiliates, directors, officers, employees, agents, licensors, service providers, and partners from and against claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys fees, arising from or related to your business, transactions, products or services, user content, breach of these Terms, violation of law, misuse of the Services, tax obligations, customer disputes, chargebacks, refunds, or actions of your authorized users.
2.26 Governing Law and Dispute Resolution
Unless a separate written merchant agreement states otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes in good faith through written notice and reasonable cooperation. If a dispute cannot be resolved informally, it will be resolved in the state or federal courts located in Delaware, unless mandatory law requires another forum. You and Omninal waive the right to participate in a class action to the extent permitted by law.
2.27 Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law, which may include in-app notice, website notice, or email. Continued use of the Services after the effective date of updated Terms means you accept the updated Terms. If you do not agree, you must stop using the Services and request account closure.
